Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Netmind Cloud Agents, including our websites, applications, hosted agent runtimes, APIs, integrations, documentation, support channels, and related services (collectively, the "Services"). The Services are operated by NetMind AI LTD ("Netmind", "we", "us", or "our").
By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. Eligibility and accounts
You must be at least 18 years old to use the Services. You must provide accurate account information, keep it current, and protect your login credentials, API keys, connected accounts, and other secrets. You are responsible for all activity that occurs under your account or organization.
You must promptly notify us if you believe your account, credentials, agent runtime, or connected service has been compromised.
2. The Services
Netmind Cloud Agents lets users create, configure, host, and operate AI agents. Agent runtimes may execute code, call tools, access repositories or files, connect to third-party services, and exchange prompts, outputs, logs, and metadata with AI model providers and infrastructure providers.
You are responsible for the agents you create, the instructions you provide, the tools and credentials you connect, the data you upload, and the results of any commands, automations, or workflows you run through the Services.
3. AI-generated outputs
AI-generated outputs are automated, probabilistic, and may be inaccurate, incomplete, outdated, offensive, or unsuitable for your intended use. You must evaluate outputs independently before relying on them.
The Services do not provide professional legal, medical, financial, security, compliance, or other expert advice. You are responsible for decisions, actions, and omissions based on agent outputs.
4. Your content
"Your Content" means prompts, chat messages, files, code, repositories, data, datasets, credentials you submit for use by the Services, tool responses, agent configurations, comments, feedback, and other materials you upload, import, create, or transmit through the Services.
As between you and Netmind, you retain ownership of Your Content. You grant us and our service providers a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, and otherwise use Your Content as needed to provide, secure, support, maintain, and improve the Services and to comply with law.
You represent that you have all rights, permissions, notices, and consents needed to submit Your Content and to grant the license above. You are responsible for ensuring Your Content complies with law and does not infringe or violate the rights of others.
5. Credentials, integrations, and end users
When you connect a model provider, repository, messaging channel, API, or other integration, you authorize us to use the provided credentials and connection data to perform the actions you request through the Services. You are responsible for complying with the terms of each connected service.
If your agents interact with your own customers, employees, contractors, or other end users, you are responsible for giving all required notices, obtaining all required consents, handling end-user requests, and ensuring your agents are lawful and appropriate for their intended audience.
6. Acceptable use
You must not use the Services to:
- Violate any law, regulation, contractual duty, or third-party right.
- Upload, generate, distribute, or request illegal, harmful, abusive, harassing, defamatory, hateful, sexually exploitative, or otherwise objectionable content.
- Infringe intellectual property, privacy, publicity, confidentiality, or data protection rights.
- Access accounts, systems, networks, data, or services without authorization.
- Create malware, evade security controls, exfiltrate secrets, perform credential theft, or facilitate cyber abuse.
- Overload, disrupt, reverse engineer, scrape, resell, or abuse the Services or their infrastructure.
- Misrepresent AI-generated content as human-generated where disclosure is required, impersonate others, or deceive people about an agent's identity or capabilities.
- Submit personal data about children or highly sensitive data unless you have a lawful basis and all required consents.
We may investigate suspected violations and may remove content, disable agents, suspend runtimes, revoke access, or terminate accounts where we believe it is necessary to protect the Services, users, Netmind, or third parties.
7. Third-party services
The Services may interoperate with third-party services, including AI model providers, hosting providers, app stores, repositories, payment providers, messaging platforms, and tool APIs. Those services are governed by their own terms and privacy policies. We are not responsible for third-party services, content, policies, availability, security, or outputs.
8. Plans, usage limits, and fees
Some Services may be offered under free, invite-only, trial, usage-limited, metered, or paid plans. We may apply limits to runtime count, compute, storage, token usage, model usage, network access, integrations, automations, or other resources.
If you purchase a paid plan or incur metered usage, you agree to pay all applicable fees, taxes, and charges according to the plan, checkout, invoice, or order terms presented to you. Fees are non-refundable except where required by law or expressly stated in writing.
9. Service changes and availability
We may add, modify, suspend, or discontinue features at any time. The Services may include preview, beta, experimental, or pre-release features that are provided for evaluation and may be changed or removed without notice.
We do not guarantee that the Services, agent runtimes, messages, files, logs, automations, integrations, or AI outputs will be uninterrupted, secure, error-free, accurate, delivered, stored, or recoverable.
10. Intellectual property and feedback
We and our licensors retain all rights, title, and interest in the Services, including software, infrastructure, models, interfaces, designs, documentation, and trademarks. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your internal business or personal purposes.
If you provide ideas, suggestions, or feedback, you grant us a perpetual, worldwide, royalty-free license to use them without restriction or compensation.
11. Privacy
Our Privacy Policy explains how we collect, use, share, and retain personal data. By using the Services, you acknowledge that Your Content and usage data may be processed by Netmind and by third-party providers as described in the Privacy Policy and as needed to provide the Services.
12. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services, remove content, disable agents, or delete runtimes if you breach these Terms, create risk for the Services or others, fail to pay amounts due, or if we are required to do so by law.
Provisions that by their nature should survive termination will survive, including ownership, licenses, payment obligations, disclaimers, limitations of liability, indemnity, governing law, and dispute provisions.
13. Disclaimers
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and quiet enjoyment.
You are responsible for maintaining backups of important content and for validating agent actions before using them in production, regulated, safety-critical, or high-impact contexts.
14. Limitation of liability
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
To the maximum extent permitted by law, Netmind and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, or the cost of substitute services, even if advised of the possibility of such damages.
15. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Netmind and its affiliates, officers, employees, agents, licensors, and service providers from claims, damages, liabilities, losses, costs, and expenses arising out of or relating to Your Content, your agents, your integrations, your end users, your breach of these Terms, or your violation of law or third-party rights.
16. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable law gives you mandatory rights to bring claims elsewhere.
17. Miscellaneous
These Terms, together with any supplemental terms and policies incorporated by reference, are the entire agreement between you and us regarding the Services. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, financing, reorganization, or sale of assets.
If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. We may update these Terms from time to time. Your continued use of the Services after the updated Terms take effect means you accept the updated Terms.
